GENERAL TERMS & CONDITIONS
- Scope
These general terms and conditions govern the contractual relationship between MANIDAD AG, Bern, and its customers. By placing an order, the customer expressly accepts MANIDAD's business relations as part of the contract. - Products / Services
MANIDAD is a supplier of products mainly from the health market. The assortment of MANIDAD includes the MANIDAD nutritional supplements and preparations assortment and can be changed by MANIDAD at any time. - Delivery Restrictions
Products with delivery restrictions are supplied exclusively to customers with the corresponding authorization.- Delivery Service
General Delivery Times
As far as for the ordered products and/or services a delivery by MANIDAD was agreed, these are dispatched as a rule within 3 days. If a product and / or service is not available at the time of the order, the customer will be informed accordingly.
Delivery by Mail (CH) MANIDAD sends the ordered products by mail in the priority channel by Dispobox. The products, if available, will be shipped within 3 working days. MANIDAD reserves the right to charge a shipping fee on deliveries by mail. Any shipping fee will be charged only once for partial deliveries. The delivery is considered to be made with the handover to the post office. - Delivery by DHL (DE, AT, EU, World) Deliveries in Germany, in Austria and in the EU and outside the EU are carried out by a fulfilment partner of Manidad AG via DHL / Post/FEDEX. Deliveries are deemed to have been made upon handover to the courier services.

Customers can order from MANIDAD either by telephone, in writing (letter), by e-mail or by means of electronic ordering system. MANIDAD confirms the order of the customer in each case. With this confirmation, the order becomes legally valid. - Price Determination
Invoicing is done at the current prices at the time of the order. The customer can always ask MANIDAD for the current prices. All prices are quoted in Swiss francs (CH) and euros (D, A, world) and are inclusive of VAT and other charges. - Price Change
MANIDAD may change its prices for products, logistics and services at any time and without notice.

- Invoicing
MANIDAD issues with each order an invoice for all products delivered, which must be paid in advance to trigger the delivery. The customer can raise objections against the invoice within 10 days. If he fails to do so, the invoice is considered accepted. - Terms of Payment
Invoice amounts are due upon receipt of order and are paid in advance by credit card or direct debit to trigger delivery. - Default of Payment
If the customer remains in default of payment in advance after placing the order, MANIDAD can interrupt the provision of all services without further notice. Furthermore, MANIDAD reserves the right, without giving reasons, to refuse a new delivery in case of non-payment (chargeback) concerning a previous order placement. The complaint of goods does not entitle the customer to withhold payment. The customer bears all costs incurred by MANIDAD due to the delay in payment, such as administrative and reminder fees, interest on arrears, lawyer and court costs.

MANIDAD guarantees that faultless stored, original packed and with valid expiration date provided products are delivered. For defective products, MANIDAD will deliver a replacement or issue a credit note to the customer after consultation, unless the customer has not notified the defect in due time in accordance with the above provisions. Any further warranty, in particular for the properties and effect of the products, is excluded, insofar as the legal provisions permit. For the assertion of any claims, the original invoice must be kept by the customer. - Liability / Transfer of Benefits and Risks

MANIDAD is only liable for damages caused to the customer by intentional or grossly negligent conduct of MANIDAD. Any further liability is excluded. - Transfer of Benefits and Risks
Benefits and risks are transferred to the customer with the shipment of the delivery.

MANIDAD complies with the Swiss Data Protection Act. It obtains and processes personal data within the framework of its privacy policy only to the extent necessary for the conduct of business or due to legal provisions. MANIDAD may also use personal data to maintain its customer relationships, for example in the context of marketing campaigns. It may cooperate with third parties in this regard. - General
MANIDAD expressly reserves the right to change these General Terms and Conditions at any time. With the use of deliveries and services of MANIDAD the present general terms and conditions are considered as accepted without reservation. Deviating conditions of the customer are not binding for MANIDAD, subject to express written acceptance. Additional agreements or further commitments of MANIDAD require the written form. - Jurisdiction and Applicable Law
Swiss law is exclusively applicable to the legal transactions between MANIDAD and its customers. The ordinary courts at the registered office of MANIDAD in Bern are competent.
